Province Terms of Use and Privacy Policy

Effective Date: July 28, 2025

Please read these Terms of Use and Privacy Policy carefully before using the Province website. By accessing or using our site, you agree to be bound by the following terms and conditions. If you do not agree, please do not use the site.

Terms of Use

  1. Acceptance of These Terms
    By accessing or using the website of Province, LLC (“Province” or “we” or “us”) at www.provincefirm.com (the “Site”), you, the user (“you”), acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these Terms of Use, you must not use or access the Site. Use of the Site is expressly conditioned upon your acceptance of these Terms. Province may update or modify these Terms of Use at any time. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for updates or changes.
  2. No Unlawful or Improper Use
    You agree to use the Site only for lawful purposes and in accordance with these Terms. You shall not use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site. You further agree not to attempt to gain unauthorized access to any portion of the Site, any other systems or networks connected to the Site, or to any server of Province by hacking, password “mining,” or any other illegitimate means. Province reserves the right to terminate or restrict your access to the Site, without notice, if we determine that you have violated any laws or these Terms of Use.
  3. Intellectual Property Rights
    All content on the Site, including but not limited to text, information, graphics, logos, design, layout, downloads, compilations of data, and software (collectively, “Content”), is the property of Province or its licensors and is protected by United States and international intellectual property laws. Province owns and retains all rights, title, and interest in and to the Content. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal, informational, and non-commercial use only. No other use is permitted. You may not modify, reproduce, distribute, publicly display, create derivative works from, republish, download, store, or transmit any Content from the Site without Province’s prior written permission, except as allowed by law (such as brief quotations for commentary or fair use). All trademarks, service marks, and logos on the Site are the property of Province or their respective owners. Nothing in these Terms grants any license or right to use any Province or third-party trademark or logo without prior written permission.
  4. No Professional Advice or Client Relationship
    All information and materials on the Site are provided for general informational purposes only. Nothing on this Site constitutes (or is intended to constitute) financial, investment, legal, tax, accounting, real estate, or other professional advice, and no content on the Site establishes an advisor-client or attorney-client relationship. You acknowledge and agree that you may not rely on any information on the Site as professional advice for any purpose. If you require advice, you should consult qualified professionals in the appropriate field.

Professional Licensure Disclaimer: Although certain Province principals or employees may hold professional licenses (for example, in law, real estate, or finance), Province itself is not a law firm, real estate brokerage, tax advisory firm, or other licensed professional entity. Province does not offer services requiring such licensure, and nothing on the Site is a representation that Province is practicing in a licensed capacity. Any references on the Site to individual credentials are provided solely to highlight the experience of our team members and are not presented as an endorsement of Province as a licensed firm in those fields.

  1. Third-Party Websites and Links
    For convenience, our Site may contain links to third-party websites or resources that are not operated or controlled by Province. Province is not responsible for the content, products, services, or practices of any third-party websites. The inclusion of any link on our Site does not imply endorsement or approval by Province of the linked site or any associated products or services. If you follow a link to a third-party site, you do so at your own risk. Third-party sites may have their own terms of use and privacy policies, including the use of cookies or other tracking technologies. We encourage you to review the terms and privacy policies of any third-party websites you visit. Your interactions on third-party websites are solely between you and the third party; Province assumes no liability for any harm or damages arising from your visits to such sites.
  2. Electronic Communications
    By providing your contact information to Province through the Site (for example, by sending us an email or filling out a form), you consent to receive communications from us electronically. This includes responses to inquiries you submit and information about our services or updates that we believe may be of interest to you. We will communicate with you via email or by posting notices on the Site. You agree that all agreements, notices, and other communications that Province provides to you electronically satisfy any legal requirement that such communications be in writing. If you no longer wish to receive marketing or promotional emails, you may opt out at any time as described in our Privacy Policy (see “Your Rights and Choices” in the Privacy Policy below for how to unsubscribe from marketing emails).
  3. Disclaimer of Warranties
    Use of the Site is at your own risk. The Site and all Content are provided on an “as is” and “as available” basis, without any warranty of any kind. To the fullest extent permitted by law, Province disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. Province does not guarantee that the Site or any Content will be accurate, complete, up-to-date, or error-free, nor that access to the Site will be uninterrupted or free from viruses or other harmful components. Province makes no warranty that the Site will meet your expectations or requirements. You are responsible for implementing sufficient procedures and checkpoints to satisfy your requirements for data backup and security.
  4. Limitation of Liability
    To the fullest extent permitted by law, Province and its affiliates, and their respective officers, directors, employees, and agents, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages (including, but not limited to, damages for loss of profits, revenue, business, goodwill, data, or other intangible losses) arising out of or relating to your access to, or use of, or inability to use the Site or any Content, even if Province has been advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions Province’s liability shall be limited to the extent permitted by law. In no event shall Province’s total liability for all claims related to the Site or these Terms exceed the amount of $100 USD or the amount you have paid Province, if any, in the last 12 months for the specific service or content at issue.
  5. Indemnification
    You agree to indemnify, defend, and hold harmless Province, its parent, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or any Content in violation of these Terms; (b) any content you submit, post, or transmit through the Site; (c) your breach of any provision of these Terms; or (d) your violation of any law or regulation or of any rights of a third party. Province reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Province’s defense of such claims. You will not settle any claim without Province’s prior written consent.
  6. Governing Law and Jurisdiction
    These Terms of Use and any disputes arising out of or related to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising under these Terms or relating to the Site shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You agree to waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including any claim that such action has been brought in an inconvenient forum.
  7. Severability
    If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. Province’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
  8. Entire Agreement
    These Terms of Use (together with our Privacy Policy below) constitute the entire agreement between you and Province regarding your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. In the event of a conflict between these Terms of Use and the Privacy Policy, these Terms of Use shall govern with respect to use of the Site, and the Privacy Policy shall govern with respect to issues of privacy and data handling.

Privacy Policy

Province, LLC (“Province” or “we” or “us”) respects your privacy and is committed to protecting it through this Privacy Policy. This Policy explains what information we collect about you (including through our Site and through other interactions with you), how we use and share that information, and your rights and choices regarding your information. This Privacy Policy is incorporated into and is subject to our Website Terms of Use (above). By using the Site or providing personal information to us, you agree to the terms of this Privacy Policy. If you do not agree with our practices, please do not use the Site or provide us with your information.

  1. Information We Collect
    We may collect various types of information from and about individuals in connection with the Site and our business, including:
  • Information You Provide to Us: We collect personal information that you choose to provide when interacting with Province. This includes, for example, your name, contact details (email address, telephone number, mailing address), company or organization, and any other information you submit when you contact us through the Site (such as by filling out a contact form or sending us an email). If you are a customer, vendor, contractor, or other partner of Province, we may collect additional information you provide in the course of our business relationship (for instance, information in emails, letters, agreements, or other communications with us).
  • Information from Business Interactions: We also collect information about individuals who interact with Province through means outside of the Site. For example, if you communicate with us via email, phone, or in person (such as exchanging business cards or corresponding as a client, prospective client, vendor, or contractor), we may collect and retain contact information and other details from those communications. This may include names, job titles, company affiliations, addresses, emails, and phone numbers of our clients, potential clients, vendors, service providers, or other business contacts.
  • Information We Do Not Collect Automatically: Province does not use cookies, web beacons, or other tracking technologies to collect personal data from visitors to our public Site. We do not track your browsing activities across third-party websites, and we do not automatically collect personal information about your online activities over time or across different websites. We do maintain standard web server logs for our Site (which may record device information and general usage data such as your IP address, browser type, pages visited, and the time of visit), but this data is not used to identify any individual and is only used in aggregate or for technical troubleshooting. Browsing activity on our Site is anonymous and not linked to any personally identifiable information, as we do not tie log information to specific users.
  • Children’s Data: Our Site and services are not directed to children under 13, and we do not knowingly collect personal information from anyone under 13 years of age. If you are under 13, please do not provide any personal information on this Site. If we learn that we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information.
  1. How We Use Your Information
    Province uses the information we collect for the following purposes:
  • To Operate and Improve the Site: We use information about Site usage (in an aggregated, non-identifying form) to maintain and improve the content and functionality of our Site. This includes diagnosing technical problems, monitoring for security, and analyzing how users navigate the Site so we can enhance user experience. (As noted above, we do not use cookies or collect identifying analytics data on individual visitors.)
  • To Communicate with You and Respond to Inquiries: If you provide us with your contact information or submit a request/inquiry, we will use your information to respond to you. For example, we may use your name and email address to reply to a question you ask us, to fulfill a request for information, or to provide you with customer support.
  • To Provide Services to Clients and Business Partners: If you are a Province client, or are associated with a client (or are a vendor or contractor for Province), we will use the personal information you have provided or that we have collected as needed to perform our services or manage our business relationship. This may include using contact information to communicate about project updates, contracts, billing, or other operational matters.
  • Marketing and Informational Communications: Province may use the contact information of clients, prospective clients, and other business contacts to inform them about our services, news, or events that we believe may be of interest. For example, we may use your email address to send you company updates, industry insights, invitations to events, or surveys to gather feedback. We will send you such marketing or promotional communications in accordance with applicable law (including the U.S. CAN-SPAM Act and other relevant regulations), and we will honor your preferences about receiving these communications (see Your Rights and Choices below for how to opt out). If you have expressly opted in to certain communications (such as subscribing to a newsletter), we will use your information to provide those communications. Even if you have not opted in, if you are an existing client or have engaged with us, we may send you information about our own services that we think may be relevant to your interests. You will always have the ability to opt out of marketing emails.
  • Surveys and Feedback: From time to time, we may use your contact information to request feedback or participation in surveys or questionnaires. Information collected through surveys (for example, company satisfaction surveys or market research questionnaires) will be used internally to improve our services, develop new offerings, or for other legitimate business purposes. Participation in surveys is voluntary, and you may choose not to respond.
  • Legal Compliance and Protection: We may use or disclose personal information as we believe necessary or appropriate to comply with applicable laws, regulations, legal processes or governmental requests.   • Business Transfers: If we undergo a business transaction such as a merger, acquisition, reorganization, or sale of all or a portion of our assets, personal information held by Province may be transferred to the acquiring party. In such cases, we would use your information in the context of evaluating or executing the transaction, and any successor entity would be bound by terms similar to this Privacy Policy in how they handle your information.

We will only use your personal information for the purposes described above or as otherwise disclosed to you at the time of collection. We do not use personal data for any purposes incompatible with the ones listed here without obtaining your consent.

  1. How We Disclose or Share Information
    Province respects the confidentiality of the personal information we collect. We do not sell your personal information to third parties for monetary consideration or for their independent marketing purposes. We share personal information only in the following circumstances:
  • With Service Providers: We may share your information with trusted third-party service providers or partners who process data on our behalf to help us operate our business. Examples include IT hosting providers, email communication platforms, customer relationship management (CRM) systems, or analytics providers. These service providers are contractually bound to use personal information only as needed to perform services for us and to keep it confidential and secure.
  • Within Our Corporate Group: Province, LLC may share information with its affiliates or subsidiaries (if any exist) for purposes consistent with this Policy. All such entities will abide by the provisions of this Privacy Policy regarding your information.
  • For Legal Reasons: We may disclose personal information if required to do so by law or in the good faith belief that such action is necessary to (a) comply with a legal obligation or governmental request; (b) protect and defend the rights, property, or safety of Province, our clients, or others; (c) investigate or prevent actual or suspected illegal activity or fraud; or (d) act in urgent circumstances to protect the personal safety of users of the Site or the public.
  • In Business Transactions: In the event of a potential or actual merger, acquisition, financing, sale of assets, or similar transaction involving our business, personal information held by Province may be disclosed to advisors, counterparties and prospective or actual purchasers, but only as needed for the evaluation or completion of the transaction, and subject to appropriate confidentiality obligations. If ownership of Province or its assets changes, we will provide notice as appropriate (for example, by posting on our Site or via email) about any choices you may have regarding your personal information.
  • With Your Consent or At Your Direction: In situations where you explicitly consent or request that we share information with a third party (for example, if you ask us to introduce you to one of our partners or to provide a reference), we will share your information as appropriate to fulfill your request.

Aside from the purposes and recipients described above, Province will not share your personal information with third parties. We do not rent or trade contact lists, and we do not disclose personal data to third parties for their own direct marketing purposes.

  1. Cookies and Third-Party Links
    As noted, Province does not use cookies or similar tracking technologies on our Site to collect personal information about you. We do not place any first-party cookies (small text files stored on your browser) for analytics, advertising, or tracking of individual users. Our Site also does not utilize third-party analytics services (such as Google Analytics) that would track your activity. In short, when you visit provincefirm.com, we do not gather personal data about your online behavior over time or across third-party websites.

However, our Site may contain links to third-party websites or services that are not operated by Province. If you click on a link to an external site (for example, a news article, a partner’s website, or a social media platform), you will be directed to a site outside of our control. Those third-party sites may use cookies, tracking pixels, or other technologies to collect information about you according to their own privacy practices. Province is not responsible for the cookies or tracking technologies used by third-party websites. Any information collected by third-party sites is governed by the privacy policy of the third party, not by Province’s Privacy Policy. We recommend that you review the privacy policies and cookie notices of any external websites you visit.

“Do Not Track” Signals: Some web browsers offer a “Do Not Track” (DNT) setting that sends a signal to websites you visit indicating that you do not wish to be tracked. Because Province does not engage in tracking activities on our Site (and does not collect personal data about your browsing), the Site’s functionality is unaffected by DNT signals. In other words, we do not track users across third-party sites regardless of DNT, and at this time we do not respond in any special way to a DNT browser signal.

Third-Party Cookies on Linked Sites: If you have concerns about cookies when visiting external links from our Site, you may manage cookies through your browser settings. Most web browsers allow you to block or delete cookies. Please note, however, that disabling cookies on third-party sites may affect your user experience on those sites. Province has no control over how third-party sites handle cookie preferences or DNT signals.

  1. Data Security
    Province takes reasonable measures designed to protect the security of the personal information we process. We implement appropriate technical and organizational safeguards to secure your personal data from accidental loss and from unauthorized access, use, alteration, and disclosure. These measures include access controls to personal data, the use of encryption or secure protocols where appropriate, and agreements with employees and contractors to ensure personal information is handled confidentially.

However, please be aware that no method of transmitting or storing data is completely secure. While we strive to protect your personal information, we cannot guarantee absolute security. Any transmission of your information to us (for example, via email or web form) is at your own risk. If you have reason to believe that your interaction with us is no longer secure (for instance, if you feel that the security of any account you might have with us has been compromised), please immediately notify us using the contact information below.

  1. Data Retention
    We retain personal information for as long as necessary to fulfill the purposes for which it was collected, as outlined in this Policy, unless a longer retention period is required or permitted by law. For example, we will keep contact information and correspondence for as long as we have an ongoing relationship or a business need (such as to provide services to you or to comply with legal obligations). If you ask us to delete your personal information (see Your Rights and Choices below), we will do so unless we are legally required or permitted to retain the information for a certain period (in which case we will securely isolate it from active use).
  2. Your Rights and Choices
  • Opt-Out of Marketing Communications: If you no longer wish to receive marketing or promotional emails from Province, you may opt out at any time. You can do so by clicking the “unsubscribe” link in any marketing email you receive from us, or by contacting us at privacy@provincefirm.com with a request to be removed from our mailing list. Please note that even if you opt out of marketing messages, we may still send you transactional or informational communications that are necessary for our ongoing business relationship (for example, communications regarding a service you are receiving, responses to your inquiries, or legal/administrative notices).
  • Updating Your Information: If you need to correct or update personal information that you have provided to us (such as your contact details), you may do so by contacting us at privacy@provincefirm.com. We will honor your request to correct inaccurate information about you.
  • California Privacy Rights: If you are a resident of California, you have certain rights under the California Consumer Privacy Act (CCPA) (as amended by the California Privacy Rights Act) regarding your personal information:
    • Right to Know: You have the right to request that we disclose what personal information we collect, use, disclose, and sell. This includes the categories of personal information we have collected about you, the categories of sources of that information, the business or commercial purposes for collecting it, the categories of third parties with whom we share it, and the specific pieces of personal information we hold about you.
    • Right to Delete: You have the right to request that we delete personal information we have collected from you, subject to certain exceptions (for example, we may need to retain information to complete a transaction you requested, to comply with a legal obligation, for security purposes, etc.).
    • Right to Opt-Out of Sale/Sharing: California residents have the right to opt out of the “sale” of their personal information or the sharing of their personal information for cross-context behavioral advertising. However, Province does not sell personal information to third parties for monetary value and does not share personal information for cross-context behavioral advertising. Therefore, this right may not be applicable in our case, aside from our general practice of not selling data.
    • Right to Non-Discrimination: We will not discriminate against you for exercising any of your CCPA rights. This means we will not deny you services, charge you a different price, or provide a different level of service because you made a privacy rights request. If you are a California resident and you exercise your rights, you will receive the same quality of service from Province as you would otherwise.

How to Exercise California Rights: To exercise the rights described above, you (or your authorized representative) may submit a verifiable request to us by emailing privacy@provincefirm.com or calling (702) 685-5555 (ask to speak with the Privacy Officer). Please provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal information (for example, your name, email address, and relationship to Province) and a description of your request. We will respond to verifiable requests in accordance with California law. For security, we may need to request additional information to confirm your identity before fulfilling a request (especially for requests to access specific pieces of information or to delete data). If we cannot verify your identity, we may be unable to provide certain data in response to a request (for example, we will not provide or delete data if we cannot confirm the requester is the subject of the data).

Shine the Light: Separately from CCPA, California’s “Shine the Light” law (Civil Code § 1798.83) entitles California residents to request and obtain from us once a year, free of charge, information about personal information (if any) that we disclosed to third parties for their own direct marketing purposes in the preceding calendar year. Province does not disclose personal information to third parties for their direct marketing purposes, so we believe we have no such information to report. If you are a California resident and would like to make a Shine the Light inquiry, please send an email to privacy@provincefirm.com with “Shine the Light Request” in the subject line.

  • Nevada Privacy Rights: Under Nevada law (NRS § 603A), Nevada consumers have the right to direct a website operator to not sell certain personal information the operator has collected or will collect about the consumer. Province does not currently sell personal information of Nevada consumers (as “sale” is defined under Nevada law). If you are a Nevada resident and you have questions about our data practices or would like to request that we not sell your information in the future, you may contact us at privacy@provincefirm.com with the subject line “Nevada Do Not Sell Request.” We will note your preference and include your information on a do-not-sell list, though as stated, we do not engage in data sales.
  • Other U.S. State Privacy Rights: Privacy laws in certain other states (such as Virginia, Colorado, Connecticut, and Utah) provide residents of those states with rights regarding their personal data. Province will endeavor to honor applicable state privacy rights requests in line with relevant laws. If you are a resident of any U.S. state that grants you privacy rights and you wish to exercise those rights with respect to personal information held by Province, please contact us at privacy@provincefirm.com. We will consider and respond to applicable requests in accordance with the laws that apply to our operations.

    Province may update or revise this Privacy Policy from time to time. If we make material changes to how we collect, use, or share your personal information, we will notify you by posting the revised policy on our Site or by other appropriate means. The “Effective Date” at the top of this Policy indicates when the Policy was last revised. Your continued use of the Site or our services after any update to this Privacy Policy will constitute your acceptance of the changes. We encourage you to review this Policy periodically to stay informed about how we are protecting the information we collect.
