- Acceptance of These Terms
By accessing or using the website of Province, LLC (“Province” or “we” or “us”) at www.provincefirm.com (the “Site”), you, the user (“you”), acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these Terms of Use, you must not use or access this Site. Use of this Site is expressly conditioned upon your acceptance of these Terms. Province reserves the right to update or modify these Terms of Use at any time. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site after any such changes are posted constitutes your acceptance of the revised Terms. Please review these Terms periodically for any updates or changes. - No Unlawful or Improper Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You shall not use the Site in any manner that could disrupt, damage, disable, or impair any Province server or interfere with any other party’s use of the Site. You further agree not to attempt to gain unauthorized access to any portion or feature of the Site or any other systems or networks connected to the Site, or to any Province server, or to any of the services offered on or through the Site, by hacking, password “mining,” or any other illegitimate means. Province reserves the right to terminate or restrict your access to the Site, without notice, if you violate any laws or these Terms. - Intellectual Property Rights
All content on this Site, including but not limited to text, information, graphics, logos, design, layout, downloads, pricing information, data compilations, and software (collectively, “Content”), is the property of Province or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. Province owns and retains all rights, title, and interest in and to its Content. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal informational and non-commercial use only. No other use is permitted. You may not modify, reproduce, distribute, publicly display, create derivative works from, republish, download, store, or transmit any of the Content on our Site, except as allowed under applicable law or with prior written permission from Province. All trademarks, service marks, and logos displayed on the Site are the exclusive property of Province or their respective owners and are protected by law. You are not granted any right or license to use any trademarks or logos without the prior written permission of Province or the applicable third party. - No Professional Advice or Client Relationship
No Advice or Reliance: All information, materials, and Content provided on this Site are for general informational purposes only. Nothing on this Site constitutes, or is intended to constitute, financial, investment, legal, tax, accounting, real estate, or other professional advice or a recommendation, representation, or endorsement by Province. You acknowledge and agree that you will not construe any Content on this Site as professional advice, and you should not rely on any Content for making personal, financial, or legal decisions. The Content may not be applicable or suitable to your particular circumstances and may be incomplete or not up-to-date. If you require advice in any such field, you should consult with an appropriate licensed professional (such as an attorney, tax advisor, accountant, financial advisor, or real estate broker) who can review your individual situation.
No Client or Fiduciary Relationship: Your use of this Site or communication with Province through the Site does not create any advisory, fiduciary, or professional relationship between you and Province. This includes, but is not limited to, any attorney-client relationship, accountant-client relationship, or any other confidential or privileged relationship. Province’s duties to clients arise only under formal engagement agreements and not from the use of this Site. Unless you have separately entered into a written, signed agreement with Province for professional services, you are not a client of Province, and Province owes you no professional duties or obligations. Any decisions you make based on information on this Site are solely your responsibility. Province disclaims any liability for actions you take or do not take based on this Site’s Content (see Section 8 below for additional disclaimers).
Licensed Professionals Not Engaged in Licensed Practice: Province employs and partners with individuals who may hold professional licenses (for example, attorneys, certified public accountants, or licensed real estate brokers). However, Province, LLC itself is not a law firm, not a public accounting firm, and not a licensed real estate brokerage firm. Any services provided by Province are business consulting and advisory services only, and Province does not offer or provide services in any licensed professional capacity (legal, tax, real estate brokerage, etc.). Any reference on the Site to the experience or credentials of Province’s professionals is for informational purposes only, and no content on the Site constitutes the exercise of a licensed professional judgment or advice. Province’s inclusion of such credentials shall not be construed as holding out to be a licensed law firm, tax advisor, brokerage, or any other regulated entity to the public. Site visitors and users should always seek their own legal counsel, tax advisors, real estate brokers, or other qualified professionals for advice pertaining to their specific circumstances. Province expressly disclaims any obligation or liability in connection with any actions taken or not taken based on any of the Site’s Content in these regulated areas.
- Privacy and No Tracking Disclosure
Province is committed to respecting your privacy. We do not track, monitor, or save personal information about your visits to our Site, except as described in our Privacy Policy (see the Privacy Policy below or accessible via the Site’s footer). This means the Site does not use cookies or other tracking technologies to collect personal data on public users for marketing or profiling purposes. We do not collect your name, email address, or other personal identifiers unless you voluntarily provide them to us (for example, by filling out a contact form or sending us an email). Any personal information you do choose to submit to Province through the Site will be handled in accordance with our Privacy Policy. By using the Site, you consent to the collection and use of information as outlined in the Privacy Policy. If you do not agree with our data practices described there, please do not use this Site or submit personal information. (See the full Privacy Policy for details on what information we collect and how we use it.) - Communication and Consent to Monitoring
If you choose to contact Province or any of its employees or representatives through the Site (such as via a contact form or by emailing an address provided on the Site), you consent to the recording and retention of such communications by Province. Province reserves the right to monitor, review, and retain (for business purposes) any email, web form submission, or other electronic communication you send to us. By communicating with us through electronic means, you acknowledge and agree that your communication is not confidential, may be accessed and reviewed by Province staff, and may be preserved as business records. This practice is in place to ensure quality of service, to comply with legal and regulatory requirements, and for internal training or record-keeping. Do not send any sensitive personal, financial, or confidential information through the Site or via unsolicited email, as Province cannot guarantee the security of information transmitted over the Internet. Also note that any suggestions or information you provide to Province via the Site (except for personal information governed by the Privacy Policy) shall be deemed non-confidential and non-proprietary, and by submitting such information you grant Province the right to use it at our discretion. - Third-Party Websites and Links
For your convenience, the Site may contain links to or references to third-party websites, resources, or services that are not owned or controlled by Province. These links are provided for informational purposes and do not constitute an endorsement or sponsorship of any third-party or its services. Province has no control over the content, policies, or practices of any third-party websites. If you access a third-party website via a link on our Site, you do so at your own risk. Province assumes no responsibility for the content or privacy practices of any third-party sites. We encourage you to review the terms of use and privacy policies of any third-party websites you visit. Province will not be liable for any damage or loss arising from or related to the use of third-party websites or resources. - Disclaimers of Warranties
Use at Your Own Risk: This Site and all Content, materials, information, and services provided on or through the Site are provided on an “AS IS” and “AS AVAILABLE” basis, without warranty of any kind. Province disclaims all warranties and representations, express or implied, with respect to the Site and its Content, including but not limited to any warranties of accuracy, completeness, correctness, non-infringement, merchantability, or fitness for a particular purpose. Province does not warrant that the Site will be available, uninterrupted, secure, or free of errors, viruses, or other harmful components. While we endeavor to provide accurate and current information on the Site, we make no guarantee that the Content is up-to-date, complete, or error-free. Any reliance you place on the Site or its Content is strictly at your own risk.
No Warranty for Content: Specifically, Province does not warrant or guarantee the accuracy or reliability of any information on this Site, including any financial data, market information, case studies, publications, or any other Content. All such Content is presented solely as of its date or as of the conditions specific to the example and may not reflect current circumstances. Province further disclaims any duty to update the information or opinions on the Site. Province is not responsible for any errors or omissions in the Content, and we will not be liable for any consequences resulting from any inaccuracy or omission.
- Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Province, LLC or its affiliates, partners, officers, employees, or agents be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages (including, but not limited to, damages for loss of profits, revenue, business, goodwill, use, data, or other intangibles) arising out of or in connection with your access to, use of, or inability to use the Site or any Content on the Site, even if Province has been advised of the possibility of such damages. This limitation of liability applies to all causes of action, whether based in contract, tort (including negligence), strict liability, or any other legal theory. In particular, Province shall not be liable for any decisions made or actions taken by you or anyone else in reliance on the information or Content presented on the Site, nor for any consequential, incidental, or punitive damages even if advised of the possibility of such damages. If you are dissatisfied with any portion of the Site or with any of these Terms of Use, your sole and exclusive remedy is to discontinue use of the Site.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. To the extent that any such laws apply, some of the above disclaimers or limitations may not apply to you. In such jurisdictions, Province’s liability is limited to the greatest extent permitted by law.
- Indemnification
You agree to indemnify, defend, and hold harmless Province, LLC, its affiliates, and their respective officers, directors, employees, contractors, agents, and representatives from and against any and all claims, liabilities, losses, expenses, damages, and costs (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Site or any Content, (b) your violation of these Terms of Use, or (c) your violation of any law or regulation or the rights of any third party in connection with your use of the Site. Province reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with Province’s defense of such claim. - Governing Law and Jurisdiction
These Terms of Use and any disputes arising out of or relating to the Site or these Terms (including any non-contractual obligations arising from or related to these Terms or the use of the Site) shall be governed by and construed in accordance with the laws of the State of Nevada, USA, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under or relating to these Terms of Use or the Site shall be brought exclusively in the federal or state courts located in Clark County, Nevada, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objections to jurisdiction or venue in such courts, including any defense claiming forum non conveniens. Notwithstanding this, Province retains the right to seek injunctive or equitable relief in any jurisdiction to enforce these Terms or to prevent an infringement of its rights. - Changes to the Site
Province reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Site or any part of it, with or without notice. Province will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period. We may update the Content on this Site from time to time, but please note that any Content on the Site may be out of date at any given time, and we are under no obligation to update it. - Changes to These Terms
As noted in Section 1, Province may revise or update these Terms of Use at any time in its sole discretion. When we do, we will post the updated Terms on this page and update the “Effective Date” at the top. It is your responsibility to periodically review these Terms for any changes. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the amended Terms, you must stop using the Site. - Severability
If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. Any invalid or unenforceable provision shall be construed (to the extent possible) to achieve the intents of the original provision. - Entire Agreement
These Terms of Use (together with our Privacy Policy and any other legal notices or terms expressly incorporated herein by reference) constitute the entire agreement between you and Province with respect to your use of this Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. You acknowledge that you have not relied on any statement, representation, or promise of Province or any other party except as expressly stated in these Terms of Use. - Contact Information
This Site is operated by Province, LLC. Unless otherwise specified in these Terms, all notices or communications under these Terms of Use should be directed to: Province, LLC, 2360 Corporate Circle, Suite 340, Henderson, NV 89074, Attn: General Counsel. If you have any questions or comments regarding the Site or these Terms of Use, you may contact us at that address or email.
Please also read our Privacy Policy below, which is incorporated into these Terms of Use by reference and describes how Province collects, uses, and protects information obtained through the Site.
Province, LLC – Privacy Policy
Province, LLC (“Province” or “we” or “us”) respects your privacy and is committed to protecting it through this Privacy Policy. This policy explains how we collect, use, disclose, and safeguard information from our website located at www.provincefirm.com (the “Site”). By using the Site, you agree to the terms of this Privacy Policy. If you do not agree with our practices, please do not use the Site. This Privacy Policy is incorporated into and subject to our Site’s Terms of Use (above). In case of any inconsistency between this Privacy Policy and the Terms of Use, this Privacy Policy will govern matters relating to privacy and data protection.
- No Personal Data Collected from General Site Use
No Tracking or Monitoring of Public Users: Province does not collect personal identifying information about you when you visit our Site, unless you choose to provide such information voluntarily. We do not use cookies, web beacons, or other tracking technologies to profile or identify visitors to our Site. We do not track, monitor, or save public user-specific data of any kind through your merely browsing our Site. In other words, you can explore our Site without telling us who you are or revealing any personal information about yourself. We do not automatically collect your name, email address, physical address, phone number, or any other personally identifiable information simply from your visit. We also do not use third-party analytics services (such as Google Analytics) or advertising trackers that would collect your online identifiers or web browsing habits. Our server may automatically log certain technical information (such as your IP address, browser type, and access times) as part of standard web server logs for security and maintenance purposes, but this information is not used to identify you and is not tied to any personal profile. Any such logs are used only to ensure the Site’s proper function and security, and are purged or anonymized periodically. - Information You Voluntarily Provide
While we do not collect personal information from you just by your visiting the Site, there are certain features through which you may choose to provide personal data to us. Specifically:
- Contacting Us: If you submit an inquiry or otherwise contact us via an email link (or a contact form, if one is provided on the Site), you may provide personal information such as your name, email address, phone number, the organization you are affiliated with, and any other information you include in your message. We will receive whatever information you choose to send us in such communications.
- Career or Service Inquiries: If our Site provides an option to apply for careers or request services, you may be asked to provide information such as your resume, employment history, or details about your company’s needs.
- Newsletter or Updates (if applicable): If you sign up to receive any available news, updates, or publications from Province (for example, entering your email to subscribe to a newsletter or blog updates), we will collect the contact information and any preferences you provide for that purpose.
Providing personal information through the above channels is completely voluntary. By doing so, you consent to Province’s use of your information for the purpose for which you provided it (e.g., to respond to your inquiry or process your application). Please do not send us your sensitive personal data (such as Social Security numbers, financial account information, or health information) through the Site or via email, unless specifically requested as part of a secure process, as those communications may not be fully secure.
- How We Use Your Information
If you do choose to provide personal information to us (for example, by sending us an email or filling out a form), Province will use that information for the purpose for which it was provided and in furtherance of our legitimate business interests, as described below:
- Responding to Inquiries: We will use the contact information and content of your message to respond to your questions, requests, or comments. For instance, if you ask about our services, we will use your email address to send you a reply.
- Providing Services or Information: If you request materials or services (such as subscribing to a newsletter or requesting a publication), we will use your information to fulfill that request and communicate with you about it.
- Business Records and Compliance: Province may retain copies of communications or submissions you send for our records. Any emails or electronic correspondence you send to Province or its employees may be recorded and retained for Province’s business purposes. By communicating with us, you consent to our keeping a record of the conversation. We maintain such records to comply with legal and regulatory obligations (for example, for our record-keeping requirements or to monitor compliance with our internal policies and industry regulations) and to have an accurate history of our communications with you.
- Improving Our Site and Services: Although we do not use personalized tracking, we may use aggregated, non-identifiable information (like overall site traffic patterns) to improve the Site’s design, content, and performance. Any analysis of Site usage will be done on an aggregate basis and will not identify individual users.
- Marketing and Follow-up: Province does not engage in broad unsolicited marketing, and we will not use the personal information you provide to send you promotional emails unless you have expressly opted in to such communications. If you have opted in (for instance, by subscribing to updates), we may send you relevant information about our services or industry insights. You will always have the option to opt-out of future communications (see Section 7 on Your Choices).
- Legal Obligations and Enforcement: We may use or disclose your information to comply with any applicable law, regulation, legal process, or governmental request. Additionally, if necessary, we will use information to enforce our Terms of Use, to protect the rights, property, or safety of Province, our clients, or others, or to detect and prevent fraud or security issues.
- Consent to Recording of Communications
As noted above, and in our Terms of Use, we want to be clear on this important point: by communicating with Province (through the Site or via any email addresses provided on the Site), you consent to Province’s recording and retention of that communication. Province may record, monitor, and/or retain any telephone calls, voicemails, emails, text messages, or other forms of electronic communication with you for business and quality assurance purposes. This includes, for example, retaining emails you send for compliance review or saving a contact form submission in our files. We do this in accordance with our internal data retention policies and applicable law (which may require financial advisory firms to archive business communications). We will handle any personal information contained in such communications in accordance with this Privacy Policy. If you do not wish for your communications to be retained, please refrain from sending Province correspondence via the Site. However, note that any formal business engagement with Province would necessarily involve communication and documentation retention as part of providing our services. - Disclosure of Your Information to Third Parties
Province values your privacy. We do not sell or rent your personal information to third parties for their marketing purposes. We also do not share your personal information with third parties except in the limited circumstances described below:
- Affiliates and Employees: Your information may be shared internally within Province, LLC and with our affiliates, contractors, subsidiaries, and employees who need to know the information to perform their duties (for example, a Province professional may be given your contact info to reach out to you in response to your inquiry). All such persons are obligated to keep personal information confidential and use it only in accordance with this policy.
- Service Providers: We may share limited personal information with trusted third-party service providers who assist us in operating our business and the Site. For example, we may use third-party hosting providers for our website or email service providers for our communications. These service providers will have access to personal information only as necessary to perform their functions on our behalf and are contractually obligated to maintain confidentiality and security of your data.
- Legal Compliance and Protection: We may disclose personal information as required by law, subpoena, or other legal process, or if we have a good-faith belief that disclosure is necessary to (i) comply with a legal obligation, (ii) protect and defend the rights, interests, or property of Province or third parties, (iii) prevent or investigate possible wrongdoing in connection with the Site or our services, (iv) act in urgent circumstances to protect the personal safety of users of the Site or the public, or (v) protect against legal liability.
- Business Transactions: In the event that Province, LLC is involved in a merger, acquisition, sale of assets, joint venture, financing, reorganization, dissolution, or other transaction relating to all or part of our business, personal information held by Province could be among the assets transferred to the buyer or successor entity. We would ensure that any such transfer of information would be subject to terms consistent with this Privacy Policy and that no personal data would be used or shared in a manner inconsistent with the privacy protections in place at the time of transfer without obtaining your consent.
Aside from the instances above, Province will not disclose your personal information to third parties. In particular, we do not share your information with third-party advertisers or ad networks, since we do not engage in advertising on our Site that involves user data.
- Cookies and Tracking Technologies
Province’s Site has been designed to not rely on cookies or similar tracking technologies for collecting personal data. We do not set any cookies that store your personal information or track you across other sites. The Site may use only essential cookies that are strictly necessary for the operation of the website (for example, a session cookie to remember your preferences or to enable you to move around the site smoothly). Such cookies, if used, are not used to track user behavior and are generally temporary (session-based). We do not use any analytics cookies, advertising cookies, or social media plug-in cookies that would follow your online activities. Because our Site does not engage in behavioral tracking, we do not respond with any different behavior to web browser “Do Not Track” signals beyond what is stated (we simply do not track visitors personally). If in the future we decide to use any cookies or collect browsing data in a way that identifies users, we will update this Privacy Policy and, if required by law, seek your consent. - Your Choices and Rights
Because Province collects minimal personal data through its Site, the choices and rights you have largely pertain to any information you have voluntarily provided to us:
- Opting Out of Communications: If you have signed up to receive newsletters or marketing emails from Province, you have the right to unsubscribe at any time. To do so, follow the instructions in any such email (often a “unsubscribe” link) or contact us at the address provided in Section 12 below requesting removal. We will honor your request and cease further communications (aside from administrative or legal notices) as required by applicable law.
- Accessing, Updating, or Deleting Your Information: If you have provided personal information to Province (such as through an email or contact form) and you would like to access that information, correct it, or request deletion of it, you may contact us using the information in Section 12. We will consider and respond to any such requests in accordance with applicable law. For instance, if you emailed us and want to see or delete what you sent, we can provide you with a copy of your communication from our records or delete it from our systems, provided we are not required to retain it for legal, document retention, or regulatory reasons.
- California Privacy Rights: Under California law (California Consumer Privacy Act “CCPA” and its amendments), California residents have certain rights regarding their personal information, including the right to know what categories of personal information have been collected and the right to request deletion of their personal information (subject to exceptions). Province does not sell personal information, and generally only collects personal data that you actively provide. If you are a California resident and have provided personal information to us, you may submit a verifiable request to access or delete your information by contacting us as described in Section 12. We will treat any such requests in accordance with applicable California law. We will not discriminate against you for exercising any privacy rights. (Note: Because we do not track site visitors or have large databases of personal information, in most cases we will have very limited data, if any, associated with an individual California consumer unless that person has corresponded with us directly.)
- Do Not Track: As mentioned, our Site does not track users across third-party sites, and we treat Do Not Track signals accordingly by not engaging in tracking. Thus, all users (whether or not they have DNT enabled) are given the same limited data collection described in this policy.
- Data Security
Province takes reasonable and appropriate measures to protect the personal information under our control from loss, misuse, unauthorized access, alteration, and destruction. We implement a variety of administrative, technical, and physical safeguards to protect the information you provide. However, please note that no method of transmitting or storing data is completely secure. Although we strive to protect your personal information, we cannot guarantee absolute security. Any transmission of information to us is at your own risk. If you believe that any information you provided to us is no longer secure or if you become aware of a potential security issue, please notify us immediately so that we can take appropriate measures.
In the event of a data breach that affects the security of personal information, Province will comply with all applicable laws and regulations regarding notification to affected users and authorities. This may include notifying you via the contact information you have provided or via a notice on the Site, as required by law.
- Data Retention
Province will retain personal information collected from the Site for as long as it is needed to fulfill the purpose for which you provided it, and for a reasonable time thereafter, or as required by law. For instance:
- If you contact us with a question, we may retain your inquiry and our response for our records, and to ensure we address similar questions in the future.
- Communications (emails, contact form submissions) may be retained in our email archives or backup systems for a certain period, in accordance with our standard retention policies or regulatory requirements.
- If you subscribed to a newsletter, we will keep your contact information until you unsubscribe or until the newsletter program is discontinued, whichever comes first.
- If information is subject to a legal hold or needed for a legal proceeding, we will retain it as long as necessary to comply with those obligations. When personal information is no longer necessary, we will securely delete or anonymize it.
- Children’s Privacy
This Site and our services are not intended for use by children under the age of 13. Province does not knowingly collect personal information from children under 13 years of age. If you are under 13, do not use or provide any information on this Site, including your name, address, telephone number, or email address. If we learn that we have received personal information from a child under 13 without verified parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us immediately (see Section 12 below), so that we can take appropriate action. Parents and guardians are urged to monitor their children’s internet usage and instruct children to never provide personal information on this Site or any other without permission. - Changes to This Privacy Policy
Province may update or modify this Privacy Policy from time to time. If we make material changes to how we treat your personal information or to the policies described, we will post the revised Privacy Policy on this page with a new effective date. In some cases, we may provide additional notice of significant changes, such as by posting a notice on the Site’s homepage or by emailing users who have provided an email address to us, but posting the updated policy on the Site is the primary means of providing notice. Your continued use of the Site after any changes to this Privacy Policy are posted will be deemed acceptance of those changes. We encourage you to review this Privacy Policy periodically to stay informed about how we are protecting the information we collect. - Contact Information
If you have any questions, comments, or concerns about this Privacy Policy or our data practices, or if you wish to exercise any rights related to your personal information, please contact us at:
Province, LLC
Attn: Legal Department
2360 Corporate Circle, Suite 340, Henderson, NV 89074
Please include your contact information and a detailed description of your request or privacy concern. We will respond to legitimate inquiries within a reasonable timeframe and in accordance with applicable law.
- Acknowledgment
By using the Province website, you acknowledge that you have read and understand this Privacy Policy and agree to its terms. This Policy is not a contract and does not create any legal rights or obligations beyond those that already exist under applicable law, but it is intended as a statement of Province’s policies and practices.
